Peter Brann Provides Legal Perspective on Paramount-Warner Bros. Merger in Variety
Brann & Isaacson partner Peter Brann was recently featured in Variety offering legal perspective on the proposed merger between Paramount Skydance and Warner Bros. Discovery.
In the article, “What Is David Ellison’s Breaking Point?,” Peter discusses the financial and regulatory pressures surrounding the $100 billion-plus transaction, including the potential costs of further delays and the challenges Paramount faces as the deal undergoes regulatory scrutiny.
“If your net worth is measured in the tens of billions of dollars, a few billion extra in ticking fees that Paramount would be forced to pay to WBD shareholders ‘amounts to pocket change,’” Peter told Variety.
Peter also offered perspective on Paramount’s approach to regulatory approval, noting that the company may have underestimated the challenges ahead. “Someone miscalculated about this pretty seriously,” he said.
Peter, who specializes in corporate and intellectual property litigation and serves as a visiting lecturer at Harvard Law School, has provided commentary to national media outlets on the antitrust and legal issues surrounding the proposed merger.
